Terms of Service

1. Eligibility & Account Responsibilities

• You must be at least 18 years old and authorized to act on behalf of your organization.
• You are responsible for maintaining accurate account information and safeguarding login credentials.
• Tenant owners control user provisioning, role assignments, and data residency preferences.

2. Acceptable Use

You agree not to misuse the Services, including by engaging in spam, harassment, discriminatory content, phishing, or automated abuse. You must comply with all applicable laws, WhatsApp Business and Meta Platform policies, and Supabase terms. We reserve the right to suspend or terminate access if we detect misuse.

3. Service Availability & Modifications

We strive to deliver a reliable, high-availability experience but do not guarantee uninterrupted service. We may modify, suspend, or discontinue features with reasonable notice. Critical security or compliance updates may be applied without prior notice.

4. Customer Data

You retain ownership of the data uploaded to the Services. You grant Omberu a limited license to host, process, and analyze that data solely to provide and improve the Services. You represent that you have obtained all rights and consents necessary to share data with Omberu and third-party platforms you connect.

5. Confidentiality

Each party agrees to protect the other party’s confidential information using industry-standard safeguards and to use such information only for the purpose of fulfilling these Terms. Confidential information excludes information that becomes public through no fault of the receiving party.

6. Fees & Billing

Subscription fees, usage-based charges, and overages are detailed in your subscription order. Unless stated otherwise, fees are non-refundable and payable in the currency specified at checkout. Late payments may incur service suspension and reasonable collection costs.

7. Term & Termination

These Terms commence when you first use the Services and continue until terminated. You may terminate by canceling your tenant and resolving outstanding balances. We may suspend or terminate for breach, misuse, or non-payment. Upon termination we will disable access and delete or return Customer Data per our retention policy.

8. Disclaimers & Limitation of Liability

The Services are provided “as is.” To the fullest extent permitted by law, Omberu disclaims all warranties, express or implied. Omberu is not liable for lost profits, indirect, special, or consequential damages. Our aggregate liability under these Terms is limited to the fees paid for the Services in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless Omberu, its officers, and employees from any claims, damages, or expenses arising out of your use of the Services, breach of these Terms, or violation of applicable law, provided we promptly notify you and cooperate in the defense.

10. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Republic of Türkiye, without regard to conflict-of-law principles. Parties agree to attempt informal resolution before escalating to binding arbitration or courts located in Istanbul, Türkiye.

11. Changes to the Terms

We may update these Terms to reflect service changes or legal requirements. We will notify tenant owners of material updates via email or in-app notices. Continued use after the effective date constitutes acceptance of the revised Terms.
